Subject to full compliance with this Agreement, the Licensor grants the Licensee permission to use the name “Ginocello” solely in connection with Licensed Products produced in accordance with the Recipes.
This permission is conditional, limited, and revocable, and exists only for the duration of an active and fully paid Licence.
The Licensee may use the Ginocello name only:
To identify Licensed Products made under this Licence
In menus, product descriptions, and promotional materials
In a truthful and non-misleading manner
In accordance with branding and representation requirements set out in this Agreement
The Licensee acknowledges that the Ginocello name carries established value, recognition, and goodwill, developed through recipe development, refinement, and successful use by existing licensed producers.
By operating under licence and using the Ginocello name with permission, the Licensee benefits from:
Immediate product credibility
Customer trust in a recognised concept
Reduced market-entry risk compared to launching an unproven product
Association with other licensed producers already achieving commercial success

The Licensee may describe Ginocello using phrases such as:

“Ginocello, crafted in-house under authorisation”
The Licensee shall not:
Claim ownership of the Ginocello name
Suggest that Ginocello originated with the Licensee
Imply exclusive rights to the name
Register or attempt to register “Ginocello” or any confusingly similar mark
Use the name outside the scope of Licensed Products
All goodwill arising from use of the Ginocello name shall accrue exclusively to the Licensor.

Upon expiry or termination of this Agreement, the Licensee shall:
Immediately cease all use of the Ginocello name
Remove references from menus, marketing, and packaging
Stop representing any product as Ginocello
Continued use of the name after termination constitutes unauthorised use and infringement.
